1. Acceptance of Terms

By accessing or using Evergreen Trade’s website, platform, courses, tools, documents, subscriptions, or services (collectively, the “Services”), you agree to be bound by these Terms & Conditions.

If you do not agree, you must discontinue use of the Services immediately.

Evergreen Trade reserves the right to update or modify these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.

2. Eligibility, Capacity & Minors

You represent that you have the legal capacity to enter into a binding agreement.

Evergreen Trade offers certain educational services that may be accessed by individuals under the age of majority. Where a user is a minor, a parent or legal guardian must provide consent and is deemed responsible for:

• All payments and financial obligations
• Compliance with these Terms
• The minor’s use of the Services

Evergreen Trade contracts with the parent or legal guardian, not the minor, where applicable.

3. Educational Purpose Only (No Investment Advice)

Evergreen Trade provides financial education only.

All content — including courses, bootcamps, PDFs, tools, analyses, indicators, discussions, examples, simulations, and mentor interactions — is provided for educational and informational purposes only and does not constitute:

• Investment advice
• Financial advice
• Trading advice
• Legal or tax advice
• A recommendation to buy, sell, or hold any security or asset

Users are solely responsible for their financial decisions.

No Guarantees & Risk Disclosure

Financial markets involve substantial risk.

Evergreen Trade makes no guarantees regarding profits, performance, outcomes, or results.

• Past performance is not indicative of future results
• Examples, case studies, and simulations are hypothetical
• Losses may exceed expectations

Use of the Services is at your own risk.

4. No Registration as an Advisor

Evergreen Trade is not registered as an investment advisor, portfolio manager, dealer, or broker with the AMF, CSA, SEC, or any other regulatory authority.

Nothing on the platform should be interpreted as personalized financial advice.

5. User Responsibilities

By using the Services, you agree to:

• Provide accurate and truthful information
• Maintain the confidentiality of your login credentials
• Use the Services for lawful purposes only
• Not redistribute, resell, copy, or share paid or proprietary content
• Comply with all applicable laws and regulations

You acknowledge that financial markets involve risk and that losses are possible.

6. Platform Access, Availability & Third-Party Services

Evergreen Trade strives to provide reliable access but does not guarantee uninterrupted or error-free service.

We reserve the right to:

• Modify or discontinue Services
• Restrict, suspend, or limit access
• Remove content or users for violations

Evergreen Trade is not responsible for outages, disruptions, data loss, or restrictions caused by third-party platforms or providers, including but not limited to payment processors, hosting services, analytics tools, communication platforms, or community platforms.

7. Account Suspension & Termination

Evergreen Trade may suspend or terminate your account with or without notice, and with or without cause, including for violations of these Terms.

Upon termination:

• Access to Services may be revoked
• No refunds will be issued for violations
• Intellectual property, liability limitations, indemnification, and governing law provisions survive termination

8. Intellectual Property

All content is the exclusive property of Evergreen Trade, including but not limited to:

• Courses and bootcamp materials
• PDFs, reports, frameworks, and tools
• Logos, branding, and written content

No content may be copied, reproduced, distributed, or resold without prior written consent.

9. Payments, Subscriptions & Refunds

• Prices are listed in the applicable currency
• Subscription terms are disclosed at checkout
• Payments are final unless otherwise stated
• Refunds, if applicable, are governed by the refund policy disclosed at purchase

Evergreen Trade reserves the right to modify pricing at any time.

10. Indemnification

You agree to indemnify and hold harmless Evergreen Trade, its founders, affiliates, and partners from any claims, losses, damages, liabilities, costs, or legal fees arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable laws or regulations
• Any misuse or redistribution of content

11. Limitation of Liability

To the maximum extent permitted by law, Evergreen Trade shall not be liable for:

• Financial losses or trading outcomes
• Missed opportunities
• Data loss or platform downtime
• Indirect, incidental, or consequential damages

Use of the Services is entirely at your own risk.

12. Jurisdictional Limitation

The Services are offered for educational purposes only and are not intended to solicit or offer services in jurisdictions where such offerings are prohibited.

Users are responsible for compliance with local laws.

13. Governing Law

These Terms are governed by the laws of Québec and Canada, without regard to conflict-of-law principles.

14. General Provisions

• Force Majeure: Evergreen Trade is not liable for events beyond reasonable control
• Severability: Invalid provisions do not affect the remainder
• Entire Agreement: These Terms constitute the entire agreement
• Language: The English version governs
